In short: your company owns its data and can take it with you at any time. You pay for your team's users; client portal users are free. MSMEPulse works out tax and statutory figures to help you, but your company remains responsible for its own filings.
1. The agreement
These terms are an agreement between WOODAPPLE SOFTWARE SOLUTIONS PRIVATE LIMITED (CIN U74140MH2008PTC187261, registered office A-1/10/705, Deshmukh Homes, Kalyan (East), Maharashtra 421306, India) ("Woodapple", "we") and the business that signs up for MSMEPulse ("Customer", "you"). The person signing up confirms they are authorised to accept these terms for the Customer.
The agreement also includes our Privacy policy and the Data Processing Terms [to be prepared: a data processing agreement covering processing of Customer data under the DPDP Act and PDPA, sub-processors, security, breach notice, and deletion]. MSMEPulse is for business use; it is not offered to consumers.
[Legal review: if a Singapore entity is set up, Singapore customers contract with it; update the parties accordingly.]
2. Your account
- You must give accurate details and keep them up to date, including your company's legal name and tax registration.
- You are responsible for your users, their access rights, and activity under your account. Keep passwords safe; we recommend requiring two-step sign-in.
- Tell us promptly at security@msmepulse.com if you suspect unauthorised access.
3. Free trial
New workspaces get a free trial of [14] days, with the limits shown at signup. No payment details are needed. If you don't choose a plan, the workspace becomes read-only when the trial ends and is deleted [30] days later, unless you subscribe. The trial is provided as is (section 14 does not apply to it beyond what the law requires).
4. Plans, fees and payment
- Fees. Fees are as shown on our pricing page or your order when you subscribe, for the plan, the number of users and any add-ons. Prices exclude GST, which is added at the applicable rate.
- Billing. Plans are billed monthly or yearly in advance. Users added during a period are charged pro rata from the next invoice. [Confirm the proration rule used in the app.]
- Payment. Invoices are payable within [7] days, currently by bank transfer with proof of payment uploaded in the app. Where you deduct TDS, send us the TDS certificate.
- Late payment. If an invoice remains unpaid, your workspace may move to a past-due state after [7] days' grace, and then be suspended until payment. We will warn account owners by email before suspension.
- Price changes. We may change prices with at least [30] days' notice. Changes apply from your next renewal; your current period's price does not change.
- Refunds and cancellation. Cancelling, refunds and plan changes are covered by our Refund and cancellation policy, which forms part of these terms.
5. Your data
- Ownership. All data your company and its users put into MSMEPulse ("Customer Data") belongs to you. You give us the right to host, process and display it only to provide MSMEPulse to you, as these terms and the Data Processing Terms describe.
- Your responsibilities. You are responsible for the lawfulness of Customer Data, including giving notices to and obtaining any consents needed from your employees, clients and other people whose data you enter, under the DPDP Act, the PDPA and other laws.
- Export. You can export Customer Data at any time from Settings.
- Aggregated information. We may use aggregated, de-identified information about how MSMEPulse is used to run and improve the service. It never identifies you, your users or the people in your data.
6. Acceptable use
You must not, and must not let anyone else:
- use MSMEPulse for anything unlawful, fraudulent or deceptive, including issuing false tax invoices;
- upload malicious code, or try to break, overload, probe or bypass the security of MSMEPulse or other customers' data;
- send unsolicited bulk messages through MSMEPulse;
- copy, resell or rent MSMEPulse, or use it to build a competing product, except as these terms allow;
- access MSMEPulse by automated means other than our published API.
7. Tax, payroll and compliance
MSMEPulse helps you prepare GST invoices and returns data, TDS, payroll (including PF, ESI, Professional Tax, LWF, CPF, SDL and SHG), statutory files and a compliance calendar, using rules and rates we keep up to date and show the working for. However:
- MSMEPulse is a tool, not tax, legal, accounting or payroll advice.
- You remain responsible for the accuracy of what you enter, for reviewing figures before you issue, pay or file them, and for your filings, payments and deadlines with tax and statutory authorities.
- Check statutory files against each government portal's validation before uploading. Due dates in the compliance calendar are standard dates; authorities may extend or change them.
8. Payments from your clients
If you connect a payment gateway (Razorpay, Stripe or HitPay), payments from your clients go directly into your own merchant account under your agreement with that gateway. Woodapple is not a payment aggregator, does not receive or hold your clients' money, and is not responsible for the gateway's service, fees, chargebacks or settlements.
9. Connected services
MSMEPulse can connect to services such as Tally, Zoho Books, Xero, email providers and payment gateways. Your use of them is governed by their own terms. We are not responsible for them, and a change on their side may affect the connection.
10. Availability and support
- We aim to keep MSMEPulse available at all times except for planned maintenance, which we try to schedule outside Indian and Singapore business hours and announce in the app. [State a target, e.g. 99.5% monthly, and any service credits, if offered.]
- Support is available by in-app ticket and email on business days [hours].
- We may improve and change MSMEPulse. We will not materially reduce the core features of your paid plan during a paid period.
- Our support team accesses your workspace only when you grant support access, for the time you allow.
11. Intellectual property
Woodapple owns MSMEPulse, including its software, design, templates and documentation. We give you a non-exclusive, non-transferable right to use MSMEPulse for your internal business during your subscription. Project templates copied into your workspace may be used and changed freely within MSMEPulse. If you send us feedback, we may use it without obligation.
12. Confidentiality
Each party will keep the other's confidential information confidential, use it only for this agreement, and protect it with at least reasonable care. This does not apply to information that is public, already known, independently developed, or that must be disclosed by law (with notice to the other party where allowed).
13. Suspension and ending
- You may cancel at any time from Settings. Your plan runs to the end of the period already paid.
- We may suspend access for unpaid fees (after notice), for serious breach of these terms, or to prevent harm to MSMEPulse or other customers, and will restore access once the issue is resolved.
- We may end the agreement for material breach not fixed within [30] days of notice, or with [90] days' notice if we discontinue MSMEPulse, refunding any prepaid fees for the unused period.
- After cancellation, you can export Customer Data for [90] days. After that it is permanently deleted, except billing records we must keep by law.
14. Warranties
We will provide MSMEPulse with reasonable skill and care, substantially as described in our documentation. Except as stated in these terms, and to the extent the law allows, MSMEPulse is provided "as is", without other warranties, including fitness for a particular purpose or that it will be error-free or uninterrupted.
15. Limitation of liability
- Neither party is liable for indirect or consequential loss, or for loss of profits, revenue, goodwill or data that could have been avoided by using the export and backup features.
- Each party's total liability under this agreement in any 12 months is limited to [the fees paid or payable by you in the 12 months before the claim].
- These limits do not apply to your payment obligations, a party's fraud, or liability that cannot be limited by law. [Legal review: consider carve-outs for breach of confidentiality and data protection obligations, and any interest, penalties or fines arising from statutory filings.]
16. Indemnity
You will defend and indemnify Woodapple against third-party claims arising from Customer Data, from your breach of section 6, or from your failure to obtain notices or consents required for Customer Data. We will defend and indemnify you against third-party claims that MSMEPulse, as we provide it, infringes their intellectual property, and may modify or replace the affected part or end the agreement with a refund of prepaid fees.
17. Law and disputes
This agreement is governed by the laws of India. The parties will first try to resolve any dispute by good-faith discussion for 30 days. Unresolved disputes will be settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seated in [Pune / Mumbai], in English. [Legal review: for Singapore customers, consider arbitration under the SIAC Rules seated in Singapore, and Singapore law if contracting through a Singapore entity.]
18. General
- Changes. We may update these terms. We will give account owners at least [30] days' notice of material changes; continued use after that means acceptance. If you don't agree, you may cancel before the change takes effect.
- Notices. We send notices to the account owner's email. Send notices to us at legal@msmepulse.com.
- Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
- Assignment. You may not transfer this agreement without our consent, except to a successor of your business. We may transfer it to a successor of ours.
- Whole agreement. These terms, the Privacy policy, the Data Processing Terms and your order are the entire agreement and replace earlier discussions. If any part is unenforceable, the rest stays in force.
